Samuel Group Inc. ("The Consultant") Consulting Services Legal Disclaimer
1. Best Efforts Services: The Consultant agrees to provide consulting services ("Services") to the Client ("You"). These Services will be delivered on a best efforts basis, meaning the Consultant will apply a high standard of care, ethical conduct, skill, and professional judgment. While every effort will be made to achieve successful outcomes, You acknowledge that results cannot be guaranteed due to the inherently uncertain nature of politics, economic factors, and other external circumstances beyond the Consultant’s control.
2. No Guarantees of Specific Outcome: While the Consultant strives to provide its Services in a professional, competent, and effective manner, we cannot guarantee the achievement of any specific result or outcome, whether expressed or implied. You acknowledge that the inherently uncertain nature of government, business, legal, and financial decisions means that numerous variables and unforeseen factors can influence outcomes. Accordingly, any statements made by the Consultant regarding the potential outcomes of the Services are simply expressions of opinion and are not guarantees or promises of actual performance.
3. No Warranties: The Consultant delivers services using its expertise, professional judgment, and best efforts in accordance with relevant lobbying laws and ethical standards. While we provide timely insights, policy analysis, and strategic counsel, we make no express or implied warranties regarding specific outcomes, including, but not limited to, government decisions, funding, or procurement results. Clients remain responsible for their business decisions and may wish to consult qualified professionals concerning legal or financial matters that fall outside the scope of this engagement.
4. Limitation of Liability: To the fullest extent permitted by law, the Consultant shall not be held responsible for any decisions made or actions taken by You or anyone else who relies on information or materials provided through the Consultant’s Services. Under no circumstances shall the Consultant, its partners, contributors, agents, employees, directors, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly, nor for any loss of data, use, goodwill, or other intangible losses resulting from the Services.
5. No Legal Representation or Advice: You acknowledge and agree that, although certain professionals engaged by the Consultant may possess legal qualifications, the Services provided under this engagement do not constitute legal representation. The Consultant is not a law firm and does not offer legal advice. Any communications, recommendations, or materials shared as part of the Services are intended solely for general consulting purposes and should not be interpreted or relied upon as legal advice or a substitute for independent legal counsel. You are encouraged to seek appropriate legal guidance from a qualified attorney for any matters requiring legal interpretation or representation.
6. Client Acknowledgement: By engaging the Consultant for Services, You acknowledge that you have read, understood, and agree to the terms outlined in this Disclaimer. Furthermore, you agree to exercise your independent judgment in deciding whether to proceed with any decision based on the information or recommendations provided by the Consultant as part of the Services.
7. This Disclaimer Applies to the Maximum Extent Allowed by Applicable Law: If You are not satisfied with any part of this Disclaimer or any of these terms, your sole and exclusive remedy is to stop using the Consultant's Services.
